Invitation to the Extraordinary General Meeting No 1 2018 – 21 April 2018
With reference to the Millennium Residence AGM 2016 on Saturday 11th June 2016 agenda 6 Legal Update regarding the Case #2: Black case no. Por Bor 184/2558 MRCJP plaintiff vs MR Sukhumvit the First Defendant and Jones Lang Lasalle the Second Defendant, it was noted that if a proposed settlement is made by the defendants that it will be brought to the Co-Owners at the AGM or EGM for consideration and taking place at the General Meeting No 1 2018 accordingly.
As a prerequisite to proceeding to trial, a mediation proceeding was held under the supervision of the Court.
The mediation proceeding was completed and after extended discussions and the Judge has provided an opinion on a proposed a settlement and requested that all parties accept the settlement rather than proceeding to trial.
The Defendants have agreed to the proposed settlement.
The JPM, Management Committee and Plaintiff’s attorneys have considered the settlement and believe it is worthy of serious consideration by the Co-Owners.
We therefore need to bring the proposed settlement before the Co-Owners’ and respond back to the defendants and Court as soon as possible but not later that the end of April as requested by the Court hence the Invitation to the Extraordinary General Meeting of Co-Owners No.1 2018 taking place on 21 April 2018.
I would hereby like to invite you to join the Extraordinary Grand Meeting No 1 2018.
The Agenda for the Extraordinary General Meeting No 1 2018 as shown below will be limited to consideration of the settlement and your time commitment will be limited.
You are strongly urged to participate in the Extraordinary Grand Meeting No 1 2018.

In case we are unable to archive the quorum, the second call of the Extraordinary Grand Meeting No 1 2018. will be convened within 15 days.

อ้างถึงการประชุมใหญ่สามัญเจ้าของร่วมประจำปี 2559 ในวันเสาร์ที่ 11 มิถุนายน 2559 วาระที่ 6 รายงานความคืบหน้าคดีความ คดีที่ 2 คดีหมายเลขดำที่ ผบ.184/2558 นิติบุคคลอาคารชุดมิลเลนเนียม เรสซิเดนท์ เป็นโจทก์ บริษัท เอ็มอาร์ สุขุมวิท จำกัด เป็นจำเลยที่ 1 บริษัท โจนส์ แลง ลาซาลล์ แมนเนจเม้นท์ จำกัด เป็นจำเลยที่ 2 กรณีที่ทางจำเลยเสนอแนวทางไกล่เกลี่ย ทางโจทก์จะนำข้อเสนอเข้าที่ประชุมใหญ่สามัญเจ้าของร่วม หรือที่ประชุมใหม่วิสามัญเจ้าของร่วมเพื่อลงมติ ซึ่งศาลได้นัดเจรจาไกล่เกลี่ยก่อนจะดำเนินการสืบพยาน การดำเนินการไกล่เกลี่ยที่ยืดเยื้อเสร็จสิ้น ผู้พิพากษาให้ความเห็นเกี่ยวกับข้อเสนอที่ได้จากการไกล่เกลี่ยและเสนอขอให้ทุกฝ่ายยอมรับข้อเสนอมากกว่าที่จะดำเนินการสืบพยานต่อไป โดยฝ่ายจำเลยมีความเห็นเช่นเดียวกับผู้พิพากษา ทั้งนี้ ผู้จัดการนิติฯ คณะกรรมการและทนายความของนิติบุคคลฯ (โจทก์) ได้พิจารณาข้อเสนอและเชื่อว่าสมควรที่จะนำเสนอให้เจ้าของร่วมพิจารณา ดังนั้น ทางนิติบุคคลฯ จึงมีความจำเป็นที่จะต้องนำข้อเสนอดังกล่าว เสนอให้ท่านเจ้าของร่วมพิจารณาก่อน และตอบกลับไปให้ฝ่ายจำเลยและศาลทราบผลโดยเร็วที่สุดภายในเดือน เมษายน ตามคำร้องขอของศาล
ผมขอเรียนเชิญท่านเข้าร่วมประชุมใหญ่วิสามัญเจ้าของร่วมครั้งที่ 1/2561 โดยมีวาระการประชุมเพื่อพิจารณาข้อเสนอตามรายละเอียดด้านล่างนี้เท่านั้นเพื่อให้รบกวนเวลาของท่านให้น้อยที่สุด การเข้าร่วมของท่านมีส่วนสำคัญอย่างยิ่งต่อการประชุมฯ ครั้งนี้ กรณีที่ท่านไม่สามารถเข้าร่วมการประชุมได้ด้วยตนเอง ขอให้ท่านมอบฉันทะให้ตัวแทนเข้าร่วมประชุมตามข้อแนะนำด้านล่างนี้ อนึ่ง ในกรณีที่เจ้าของร่วมมาประชุมไม่ครบองค์ประชุมตามที่กฎหมายกำหนดไว้ นิติบุคคลฯ จำเป็นต้องเรียกประชุมใหม่ภายในสิบห้าวัน
